1. Introduction
These Terms and Conditions govern your access to and use of the Groove Vibes Events website, ticketing platform, event marketplace, dashboard, checkout system, event listing tools, customer support channels, and any related services.
By using Groove Vibes Events, creating an account, buying a ticket, registering for an event, listing an event, applying as an organiser, or accepting these Terms during checkout or registration, you agree to be legally bound by these Terms.
If you do not agree with these Terms, you must not use Groove Vibes Events.
2. Important Consumer Protection Notice
Certain clauses in these Terms may limit Groove Vibes Events’ liability, place responsibility on you, require you to indemnify Groove Vibes Events, confirm facts that may affect your legal rights, or explain when refunds, cancellations or chargebacks may be restricted.
Nothing in these Terms is intended to unlawfully limit, avoid or reduce any rights you may have under applicable South African law, including the Consumer Protection Act 68 of 2008, the Electronic Communications and Transactions Act 25 of 2002, and the Protection of Personal Information Act 4 of 2013.
3. Definitions
- “Groove Vibes Events”, “we”, “us” or “our” means Groove Vibes Events, the operator of the event ticketing platform.
- “Platform” means the Groove Vibes Events website, marketplace, checkout system, vendor dashboard, event listing tools, ticketing system, email systems, QR/barcode ticketing tools and any related services.
- “Customer”, “Buyer”, “Attendee”, “User” or “you” means any person who accesses the Platform, buys a ticket, registers for an event, attends an event, contacts support, or uses the Platform in any way.
- “Organiser”, “Vendor”, “Promoter” or “Event Organiser” means any person, company, organisation or promoter who lists, manages, promotes or sells tickets to an event through Groove Vibes Events.
- “Event” means any event, experience, show, concert, workshop, conference, festival, party, activation, private event, online event, hybrid event or other activity listed on the Platform.
- “Ticket” means any digital or physical ticket, QR code, barcode, registration, pass, voucher or access credential issued through the Platform.
- “Service Fee”, “Booking Fee” or “Platform Fee” means any fee charged by Groove Vibes Events for providing ticketing, transaction, technology, marketing, support, administrative or marketplace services.
- “Payment Gateway” means any third-party payment provider used by Groove Vibes Events, including PayFast, Ozow, Peach Payments or any other authorised payment processor.
4. Role of Groove Vibes Events
Groove Vibes Events operates as an event ticketing platform and marketplace. Unless Groove Vibes Events is expressly stated to be the organiser of a specific event, Groove Vibes Events acts as a technology platform and ticketing facilitator that enables event organisers to list, promote, manage and sell tickets to events.
Our role may include listing events, facilitating ticket sales, processing orders, issuing digital tickets, supporting event communication, providing organiser tools, facilitating payment collection, managing platform fees, and supporting refunds and chargebacks according to our policies.
5. Platform Role vs Event Organiser Responsibility
Unless Groove Vibes Events is listed as the organiser, the event organiser is responsible for delivering the event, managing the venue, managing artists, suppliers and performers, event safety, event permits, event cancellation or postponement decisions, event-specific refunds where applicable, accuracy of event descriptions, age restrictions and entry requirements.
Groove Vibes Events does not control the venue, event production, artist performance, crowd management, weather, security conduct, venue rules or organiser decisions unless Groove Vibes Events is expressly acting as the organiser.
6. Eligibility to Use the Platform
You must be at least 18 years old to create an account, buy tickets, list events, apply as an organiser, or use any paid services on Groove Vibes Events. If you are under 18, you may only use the Platform with the involvement and consent of a parent or legal guardian, and only where the relevant event allows minors.
7. Account Registration
You may need to create an account to access certain Platform features. When creating an account, you agree to:
- Provide accurate, current and complete information;
- Keep your login details confidential;
- Update your information when it changes;
- Not create accounts using false information;
- Not impersonate another person or business;
- Notify us immediately if you suspect unauthorised access.
You are responsible for all activity under your account unless you can prove that the account was accessed without your fault.
8. Electronic Communications and Online Agreements
You agree that contracts, notices, confirmations, updates, tickets, invoices, policies and other communications may be provided electronically. You also agree that clicking “I agree”, completing checkout, submitting an organiser application, accepting a policy, or using the Platform may create a legally binding electronic agreement.
9. Changes to these Terms
Groove Vibes Events may update these Terms from time to time. The latest version will be published on the website. Continued use of the Platform after changes are published means you accept the updated Terms. Where changes are material, we may notify users by email, website notice or another reasonable method.
PART C: ORGANISER / VENDOR TERMS
10. Organiser Registration
To list events or sell tickets, you must apply as an organiser/vendor. Groove Vibes Events may require full name, business name, contact details, identity document, company registration documents, bank confirmation letter, tax information, social media links, event history, proof of authority to act for a business, and any additional verification documents.
Groove Vibes Events may approve, reject, suspend or terminate organiser accounts at its discretion, especially where fraud, safety, legal, reputational or financial risk is suspected.
11. Organiser Authority and Warranties
By listing an event, the organiser warrants that:
- It has authority to host, promote and sell tickets to the event;
- The event is lawful;
- The listing information is accurate;
- It has secured or will secure all necessary venue approvals;
- It has obtained or will obtain required permits, licences and permissions;
- It has the right to use event images, logos, artwork and artist names;
- The event will comply with applicable laws;
- It will honour valid tickets sold through Groove Vibes Events;
- It will not mislead customers.
The organiser is fully responsible for the event and all claims arising from the event unless Groove Vibes Events is expressly the organiser.
12. Event Listings
Organisers must ensure that every event listing includes accurate information, including event name, date and time, venue, age restriction, ticket types, ticket prices, refund rules, entry requirements, dress code, accessibility details where applicable, event description, line-up or programme details, special terms, and contact/support details where required.
Groove Vibes Events may edit, reject, suspend or remove event listings that are misleading, unlawful, incomplete, unsafe, discriminatory, fraudulent, offensive, high-risk or damaging to Groove Vibes Events’ reputation.
13. Prohibited Events and Listings
Organisers may not list events that are unlawful, promote violence, hatred or harassment, involve fraud or pyramid schemes, infringe intellectual property rights, mislead customers, are unsafe or unlicensed, breach venue capacity or safety rules, involve prohibited goods or services, breach payment gateway policies, or pose reputational, legal, financial or operational risk to Groove Vibes Events.
Groove Vibes Events may remove such listings without notice and may withhold funds where necessary to protect customers, the Platform, payment providers or legal interests.
14. Ticket Pricing and Fees
Organisers are responsible for setting ticket prices unless otherwise agreed. Groove Vibes Events may charge platform fees, booking fees, service fees, payment processing fees, commission, listing fees, featured event fees, marketing fees, refund or chargeback admin fees, and payout processing fees.
All applicable fees may be deducted before organiser payout. The exact commercial arrangement may be confirmed in the organiser dashboard, listing form, invoice, quotation, email confirmation or separate vendor agreement.
15. Payouts to Organisers
Unless otherwise agreed in writing, Groove Vibes Events may hold ticket sale proceeds until after the event has taken place.
Groove Vibes Events may delay, reduce, offset or withhold payouts where the event has not yet taken place, refund risk exists, chargeback risk exists, fraud is suspected, customer complaints are unresolved, the organiser has breached these Terms, the organiser has not completed verification, the event is cancelled or postponed, or a legal, banking, tax, payment gateway or compliance issue exists.
16. Refund Funding by Organisers
The organiser is responsible for funding refunds where the event is cancelled, the organiser materially changes the event, the organiser fails to deliver the event, refunds are required by law, refunds are required under the Groove Vibes Events Refund Policy, refunds are approved by the organiser, or chargebacks arise from organiser conduct or event failure.
Groove Vibes Events may deduct refund amounts from current ticket proceeds, future ticket proceeds, organiser payout balances, any amounts owed to the organiser, and deposits or reserves held by Groove Vibes Events.
17. Chargebacks Against Organisers
If a customer disputes a payment or files a chargeback relating to an organiser’s event, Groove Vibes Events may provide evidence to the bank or payment provider, deduct the disputed amount from organiser payouts, charge the organiser any chargeback fees, require supporting evidence from the organiser, suspend payouts until the dispute is resolved, and recover losses from future earnings.
Organisers must cooperate with Groove Vibes Events in resolving disputes and must provide evidence promptly when requested.
18. Event Cancellation or Postponement by Organiser
If an organiser cancels, postpones, relocates or materially changes an event, the organiser must immediately notify Groove Vibes Events in writing.
The organiser must provide the reason for cancellation or postponement, new date if applicable, customer communication wording, refund instructions, confirmation of available refund funds, and any supporting documents requested.
Groove Vibes Events may communicate with customers, update the event page, pause sales, process refunds, suspend payouts, or take any reasonable action to protect customers and the Platform.
19. Organiser Event Delivery Obligations
Organisers are responsible for venue booking, event production, staff and suppliers, safety and security, crowd control, permits and licences, artist and speaker agreements, sound, staging and technical requirements, venue capacity control, emergency planning, compliance with municipal and legal requirements, and customer service at the event.
Groove Vibes Events is not responsible for event delivery unless it is expressly the organiser.
20. Organiser Use of Customer Data
Organisers may receive attendee and buyer information only for legitimate event-related purposes, including ticket verification, entry management, event updates, guest lists, event-related queries, and safety, venue or legal requirements.
Organisers may not sell customer data, spam customers, use customer data for unrelated marketing without lawful consent, share customer data with unauthorised parties, retain customer data longer than necessary, use data in breach of POPIA, or upload attendee data to third-party marketing tools without proper lawful basis.
21. Organiser Indemnity
The organiser indemnifies Groove Vibes Events against claims, losses, damages, penalties, refunds, chargebacks, legal costs, reputational harm, customer claims, third-party claims or regulatory action arising from:
- The organiser’s event;
- Event cancellation or postponement;
- Misleading event information;
- Unsafe event conditions;
- Failure to obtain permits;
- Artist, supplier or venue disputes;
- Intellectual property infringement;
- Customer injuries or losses;
- Breach of POPIA;
- Breach of these Terms;
- Fraud or unlawful conduct;
- Failure to fund refunds or chargebacks.
PART D: PLATFORM, PAYMENTS, DATA AND LEGAL TERMS
22. Payment Processing
Payments may be processed through third-party payment gateways such as PayFast, Ozow, Peach Payments or any other provider selected by Groove Vibes Events. Payment providers may have their own terms, fees, security checks and privacy policies. Groove Vibes Events is not responsible for delays, outages, failed payments, declined transactions or payment gateway errors outside its reasonable control.
23. Taxes
Organisers are responsible for their own tax obligations, including income tax, VAT, withholding tax, reporting obligations and any other tax duties arising from ticket sales or service income. Groove Vibes Events may issue invoices, statements or payout records but is not responsible for the organiser’s tax compliance unless required by law.
24. Privacy and Personal Information
Use of the Platform is subject to the Groove Vibes Events Privacy Policy, which forms part of these Terms. By using the Platform, you agree that Groove Vibes Events may process personal information to provide ticketing services, process payments, manage events, communicate with users, prevent fraud, comply with law, and support organisers and customers.
25. Direct Marketing
Groove Vibes Events may send marketing communications where permitted by law. Users may opt out of direct marketing at any time. Organisers may not market to attendees through data obtained from Groove Vibes Events unless they have a lawful basis and comply with POPIA.
26. Intellectual Property
All Platform content, software, branding, logos, page designs, layouts, text, graphics, code, systems and functionality belong to Groove Vibes Events or its licensors unless otherwise stated. Users may not copy, reproduce, modify, scrape, sell, reverse-engineer, distribute or exploit Platform content without written permission.
Organisers grant Groove Vibes Events a royalty-free licence to use event names, logos, images, descriptions, artwork, videos and promotional material for the purpose of listing, promoting, marketing and administering the event.
27. Third-Party Links and Services
The Platform may contain links to third-party websites, organiser pages, venue sites, payment gateways, social media platforms or service providers. Groove Vibes Events is not responsible for third-party content, security, privacy practices, service failures or terms.
28. Platform Availability
Groove Vibes Events aims to keep the Platform available and functional, but we do not guarantee uninterrupted or error-free access. The Platform may be unavailable due to maintenance, hosting issues, internet outages, payment gateway downtime, security incidents, plugin or software errors, force majeure events, or third-party service failures.
29. Security
Users and organisers must not attempt to hack, scan, overload or disrupt the Platform; upload malware; access accounts or data without permission; bypass security restrictions; use automated scraping tools; or interfere with ticketing, payment or check-in systems.
30. Limitation of Liability
To the maximum extent permitted by law, Groove Vibes Events will not be liable for event cancellation or postponement by organisers, venue issues, artist non-performance, weather, load shedding, transport delays, travel or accommodation losses, personal disappointment, customer failure to attend, incorrect customer information, third-party payment failures, organiser misconduct, indirect or consequential losses, or loss of profits, goodwill, business or opportunity.
Where Groove Vibes Events is found legally liable, its liability will be limited to the amount of platform fees actually received by Groove Vibes Events in relation to the affected transaction, unless applicable law requires otherwise.
31. Indemnity by Users
You agree to indemnify Groove Vibes Events against losses, claims, damages, costs or expenses arising from your breach of these Terms, your misuse of the Platform, unlawful conduct, fraudulent transactions, chargeback abuse, ticket misuse, violation of third-party rights, false information supplied by you, or unauthorised use of another person’s payment method or personal information.
32. Force Majeure
Groove Vibes Events will not be responsible for delay or failure to perform due to events outside its reasonable control, including natural disasters, fire, flood, strikes, civil unrest, government restrictions, pandemics or public health emergencies, load shedding, internet outages, payment gateway failures, cyberattacks, venue closures, security threats, or acts of God.
33. Suspension or Termination
Groove Vibes Events may suspend or terminate access to the Platform where these Terms are breached, fraud is suspected, payment abuse occurs, chargebacks are excessive, a user threatens staff, organisers or customers, an organiser fails verification, events create legal or reputational risk, the Platform is misused, or law or payment gateway rules require action. Suspension or termination does not affect any rights or obligations that arose before suspension or termination.
34. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any dispute relating to these Terms, the Platform, ticket purchases, organiser services or event listings will be handled under South African law, unless applicable law requires otherwise.
35. Dispute Resolution
Before taking formal legal action, users and organisers agree to first contact Groove Vibes Events and attempt to resolve the dispute informally. Disputes may be submitted to [email protected].
The complaint should include full name, contact details, order number or organiser account details, event name, description of dispute, supporting evidence, and requested outcome. Nothing in this clause prevents a consumer from exercising rights under applicable law or lodging a complaint with a competent regulator.
36. Customer Support
For general support, contact [email protected]. Support requests should include full name, email address used for booking, order number, event name, and description of the issue.
37. Entire Agreement
These Terms, together with the Privacy Policy, Refund, Cancellation and Postponement Policy, event-specific terms, Organiser/Vendor Agreement, checkout terms, payment terms, and any written agreement signed or accepted by the organiser, form the agreement between you and Groove Vibes Events.
38. Severability
If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue to apply. The invalid part will be treated as removed or adjusted only to the extent necessary to make the Terms lawful and enforceable.
